 Blue Ads and Sponsor Booking Conditions of SevenOne Media GmbH
 Exclusive Position* and Special Creation**

Price basis: Broadcasting station rate 2008: For Exclusive Position* and Special Creation**, the general terms and conditions of SevenOne Media GmbH apply, if nothing else has been contractually agreed upon.

In addition to the media costs, the production costs incurred for split variations are borne by the customer. We reserve the right to change the programme schedule. The contract is finalised subject to the approval of the broadcasting station. The produced broadcasting tapes of the Exclusive Position* and Special Creation** require a legal and editorial release from the broadcasting station and/or SevenOne Media. Motif changes are possible on a weekly basis.

It is necessary to specifically name the product to be placed for a binding booking of Blue Ads. It is possible to change the booking up to 10 workdays before the broadcast, taking non-competition into consideration according to the Nielsen Media Research Family in the event there is a sponsor. Tapes must arrive at least 5 workdays before the broadcast. For "Cut In" and "Crawl" forms of advertising, the tapes must be delivered at least 10 workdays before the broadcast. Exclusively the written booking is valid. The cancellation regulations according to the general terms and conditions apply [6 weeks]. A reservation and right of first negotiation can fundamentally not be granted.

When booking the Blue Ads with a lead time that is greater than 6 weeks, finalisation of the contract is subject to programme changes [with the exception of diaries]. In cases of booking pre-, move-, and/or trailer splits, SevenOne Media has special rights of cancellation. This is an entitlement to extraordinary cancellation as soon as a sponsor books for the same field. The special rights of cancellation end 6 weeks before the broadcast date. When booking the following Blue Ads:  credits splits, programme splits, cut ins and TV Flash, finalisation of the contract is subject to non-competition exclusion independent of the time of the booking. Up to 10 workdays before the broadcast, the special forms of advertising within the programme [credits splits, programme splits, cut ins, TV Flash] are initially offered to the sponsor. If the sponsor does not accept them, then SevenOne Media has the possibility to sell them taking non-competition exclusion into consideration according to the Nielsen Media Research Family.

 Sponsoring

Price basis: Broadcasting stations rate 2008: The general terms and conditions of SevenOne Media GmbH apply. This can be downloaded under the menu option Rate Cards/STC.

This offer can be booked for a packet price [fixed price] or with flexible prices. Flexible prices mean that there may be price corrections that take effect during the current calendar year either upwards or downwards in favour or at the cost of the sponsor. SevenOne Media will inform the sponsor of that type of price change. Such price changes are not a basis for extraordinary cancellation for the sponsor if the sponsor decides in favour of the flexible price model. When booking, the price model must be specified by the sponsor in writing and in a binding form. If no comment is found on the booking, then SevenOne Media shall proceed on the assumption of an agreement for fixed sponsoring prices.

Since 2004, the movie sponsoring offer has included holiday programming. SevenOne Media reserves the right, after prior announcement, to exclude individual broadcasts from the booked sponsor packet in special cases. This affects in particular thematic compositions and/or event programming.

The broadcasting station is entitled to interrupt a booked stretch of programmes of two or more sequential broadcasts with other types of broadcasts. This can be booked by another sponsor. The offer is subject to the following condition: Advertisers who book the offer over the entire time period and/or multiple offer modules have priority over advertisers who only want a partial booking.

After receipt of the booking order or in the event of multiple bookings after the booking deadline set by SevenOne Media, SevenOne Media has up to 10 workdays as a decision making time limit for the order confirmation. If, in a sponsored show, there is also the possibility of category sponsoring, then this can be sold to another advertiser taking into consideration the non-competition exclusion according to the Nielsen Media Research Family. SevenOne Media reserves the right to offer additional special forms of advertising in sponsored shows. Up to 10 workdays before the broadcast, the special forms of advertising within the programme [credits splits, programme splits, cut ins, TV Flash] will first of all be offered to the sponsor. If they are refused, then SevenOne Media has the possibility of selling them, taking into consideration the non-competition exclusion according to the Nielsen Media Research Family; [does not apply to bookings of ‘Block Sponsoring’ or ‘Day Sponsoring’]

When booking Programme Sponsoring in a field in which no pre-, move- and/or trailer splits have been booked bindingly, the customer will be granted competition exclusion for these special forms of advertising according to the Nielsen Media Research Family. [Does not apply to bookings of ‘Block Sponsoring’ or ‘Day Sponsoring’]

The sponsoring contract is finalised subject to the approval of the broadcasting station. Furthermore, in addition to the media costs, there are also production costs for advertising promotion trailers and for sponsor integration. This is subject to printing mistakes and changes to the programme schedule. This is also subject to fee and licensing agreements with the broadcasting station as well as legal and editorial release of the broadcasting tapes that are produced. SevenOne Media reserves the right to place the sponsoring reminder before or after the interrupting block of advertising.

The customer shall supply two suitable language versions or a neutral version. Motif changes are possible on a weekly basis. Tape delivery: at least 10 days before the broadcast.

Binding information on which product the sponsor will use is required for a binding booking of sponsoring. A subsequent change of product for the same conditions is not possible. In particular, competition protection can no longer be guaranteed.

Exclusively the written booking is valid. The booking cannot be cancelled. A reservation and right of first negotiation cannot be granted.

The booking modalities apply as of May 1, 2008 and replace any previous ones as of that time. Subject to printing mistakes.
